These Terms of Service govern your access to and use of Bookfolio.
Bookfolio is provided by BOOKFOLIO LTD, a company registered in England and Wales with company number 17260970 and registered office at 26 John Hogan V C Road, Manchester, England, M40 7QU.

1. What Bookfolio does
Bookfolio is accounting software for UK businesses. It helps customers import records, organise bookkeeping data, maintain accounting records, prepare reports, review VAT information, and manage related workflow tasks.
Bookfolio is software, not an accountant, tax adviser, lawyer, auditor, insurer, bank, lender, payment service, or regulated financial adviser. The service may help you prepare information, but you remain responsible for:
•
keeping complete and accurate business records;
•
checking reports, categories, tax treatment, filings, and exports;
•
deciding whether to rely on any output from the service;
•
meeting tax, accounting, company, and record-keeping deadlines;
•
obtaining professional advice where your circumstances require it.
Bookfolio does not currently submit filings directly to HMRC or Companies House unless a specific feature clearly says that direct submission is enabled.
2. Who may use Bookfolio
You may use Bookfolio if you are at least 18 years old and can enter into a binding contract. If you use Bookfolio for a company, partnership, sole trader, or other organisation, you confirm that you have authority to bind that organisation to these terms.
You must provide accurate account, organisation, billing, and contact information. You must keep that information up to date.
3. Accounts and security
You are responsible for keeping your login details secure and for activity that occurs through your account or users you invite. Tell us promptly at hello@bookfolio.net if you believe an account, password, session, or invite has been compromised.
You must only invite users who are authorised to access the relevant business records. You are responsible for assigning appropriate roles and reviewing access when team members change role or leave.
4. Customer data
You retain ownership of the business records, documents, transaction data, contacts, notes, settings, and other content that you or your users submit to Bookfolio.
You give us the rights we need to host, copy, process, transmit, display, and back up that content to provide, secure, support, and improve Bookfolio. We do not sell customer content.
Customer account, business, accounting, and uploaded document data is stored on UK servers. The current production infrastructure stores application database records and uploads in Google Cloud's London region, europe-west2.
You are responsible for ensuring that you have the right to upload and process any personal data, confidential information, bank data, invoices, receipts, or other records you add to Bookfolio.
5. Acceptable use
You must not:
•
use Bookfolio for unlawful, fraudulent, harmful, or misleading activity;
•
upload malware, exploit code, or content designed to disrupt the service;
•
attempt to bypass security, rate limits, access controls, or audit controls;
•
access another customer's data without permission;
•
scrape, reverse engineer, or copy the service except where law allows it;
•
use Bookfolio to build a competing service using non-public product details;
•
interfere with HMRC, Companies House, banking, email, or payment systems.
We may suspend or restrict access where we reasonably believe these terms have been breached, a security risk exists, or suspension is needed to protect customers, the service, or the law.
6. Plans, trials, and payment
Some features may be free, in preview, or available only on a paid plan. Prices and plan limits are shown in the product, on the website, or in an order form.
If you subscribe to a paid plan, you authorise us and our payment provider to charge the applicable fees, taxes, and recurring amounts. Unless a checkout, invoice, or order form says otherwise, subscriptions renew until cancelled.
You can cancel according to the controls shown in the product or by contacting hello@bookfolio.net. Cancellation normally stops future renewal; it does not automatically refund fees already due unless required by law or separately agreed.
We may change prices or plan features. For paid subscriptions, we will give reasonable notice before a material price increase takes effect.
7. Third-party services
Bookfolio may connect to or depend on third-party services such as cloud hosting, email delivery, app stores, payment providers, bank-data providers, currency-rate providers, HMRC, Companies House, or other integrations.
Third-party services may have their own terms and privacy notices. We are not responsible for third-party services that are outside our control, but we will use reasonable care when selecting service providers we use to operate Bookfolio.
8. Service availability and changes
We aim to provide a reliable service, but Bookfolio may be unavailable because of maintenance, upgrades, faults, security incidents, internet failures, cloud provider issues, or events outside our reasonable control.
We may add, change, suspend, or remove features. Where a material change would substantially reduce a paid service, we will give reasonable notice where practical.
Preview, beta, experimental, or early-access features may be incomplete, changed without notice, or withdrawn.
9. Security
We use technical and organisational measures designed to protect Bookfolio and customer data. No online service can guarantee perfect security. You must keep your devices, email accounts, passwords, and user access secure.
If you discover a security issue, contact hello@bookfolio.net and do not exploit the issue, access customer data, or disclose details publicly before we have had a reasonable opportunity to investigate.
10. Intellectual property
We and our licensors own Bookfolio, including the software, product design, workflows, documentation, trademarks, and other intellectual property in the service.
Subject to these terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use Bookfolio for your own business or personal accounting workflow.
You may use your own customer content outside Bookfolio. You may not copy, resell, sublicence, or commercially exploit Bookfolio itself unless we agree in writing.
11. Confidentiality
Each party may receive confidential information from the other. The receiving party must protect confidential information with reasonable care and use it only for purposes connected with Bookfolio, unless disclosure is required by law or the information is already public through no breach of these terms.
12. Disclaimers
Bookfolio is provided with reasonable skill and care. Except where the law says otherwise, we do not promise that:

the service will be uninterrupted, error-free, or always available;
•
every report, category, calculation, or export will be correct without review;
•
the service will identify every accounting, tax, legal, or compliance issue;
•
the service will meet requirements that you have not told us about in writing.
You should review all outputs before using them for business decisions, tax returns, filings, accounts, investor reporting, loans, or professional advice.
13. Liability
Nothing in these terms excludes or limits liability that cannot legally be excluded or limited, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or your statutory rights where they apply.
Subject to that, we are not liable for indirect or consequential loss, loss of profit, loss of revenue, loss of goodwill, loss of anticipated savings, loss of business opportunity, or loss caused by inaccurate or incomplete customer data.
For paid services, our total liability arising out of or in connection with Bookfolio is limited to the fees you paid for the service in the 12 months before the event giving rise to the claim. For free services, preview features, or unpaid trials, our total liability is limited to GBP 100.
These limits apply whether the claim is in contract, tort, negligence, breach of statutory duty, or otherwise, so far as the law allows.
14. Ending access
You may stop using Bookfolio at any time. If you are on a paid plan, you remain responsible for fees due up to cancellation or the end of the current billing period.
We may suspend or terminate access if you materially breach these terms, fail to pay fees when due, create a security or legal risk, or use the service in a way that could harm Bookfolio or other customers.
After termination, we may retain or delete data according to our Privacy Policy, our backup schedules, legal obligations, and any export or deletion controls available in the product.
15. Changes to these terms
We may update these terms from time to time. If a change is material, we will take reasonable steps to notify you, such as by email or an in-product notice.
If you continue to use Bookfolio after the updated terms take effect, you accept the updated terms. If you do not agree, you must stop using the service before the updated terms take effect.
16. Governing law and disputes
These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except where consumer law gives you the right to bring a claim elsewhere.
